1. Introduction

These Terms and Conditions govern the use of AI widgets, conversational assistants and related software services provided by Takt ehf, headquartered in Reykjavík, Iceland (“Takt”, “we”, “us”, “our”). By embedding, installing, accessing or using the widget or its management dashboard, you agree to these Terms and to our Privacy Policy.

If you do not agree, you must not use the services. If you accept these Terms on behalf of a company, you confirm that you are authorized to bind that company.

2. Services Overview

Takt provides AI-powered website widgets that can be embedded using a script tag, as well as a dashboard for configuration, prompt editing and contact settings. These services include:

  • AI chat widgets embeddable on any website
  • Client dashboard for editing prompts, business info and settings
  • Optional analytics, performance monitoring and uptime supervision
  • Email or message forwarding when configured by the client

We do not host client websites; we only host the widget itself and its backend processing.

3. No Professional Advice

The widget generates machine-produced outputs that may be inaccurate, outdated or incomplete. It does not provide legal, medical, financial or other professional advice. You agree not to rely on the widget for decisions that create risk or liability.

4. AI Output Responsibility and Indemnification

The client is responsible for the configuration of the widget, including prompts, instructions, restrictions and content provided in the dashboard. Takt does not control each output. Client agrees to indemnify and hold Takt harmless from claims arising out of client configuration, client data or reliance on widget responses by end users.

5. Acceptable Use

You may not use the widget to generate unlawful, harmful, infringing, hateful or misleading content, nor attempt to reverse engineer, bypass security or overload the service.

6. Data Privacy and Data Handling

a. We do not sell end-user personal data. We do not use conversation content for advertising.

b. To generate responses, user messages may be processed by cloud and model providers acting as sub-processors under appropriate agreements.

c. Clients must not request sensitive personal data through the widget. Users who submit such data do so at their own risk.

d. We collect minimal technical metadata (timestamps, browser type, performance metrics) for security and quality.

e. Conversations may be temporarily cached to improve quality and debugging. Custom retention terms may be agreed in writing.

f. Using the widget may involve international data transfers. We apply safeguards where required.

g. Requests for access, correction or deletion can be sent to takt@takt.is.

7. No Storage of Payment Credentials

The widget does not collect or store payment card information. Payments for setup or monthly service are completed through separate secure channels provided in invoices or agreements.

8. Third-Party Providers

The widget relies on external model providers, cloud platforms and email gateways. Takt is not responsible for outages or restrictions imposed by these providers.

9. Availability and Support

We aim for high availability but cannot guarantee uninterrupted service. Support is provided by email at takt@takt.is within a reasonable timeframe.

10. Client Content License

Client grants Takt a limited license to process prompts, business information and other content solely to deliver and maintain the widget.

11. Intellectual Property

Takt retains all rights to the widget framework, code, systems and design. Embedding the widget does not transfer ownership. Source code is not provided unless agreed separately in writing.

12. Pricing and Fees

Unless otherwise agreed in writing, pricing is as follows:

  • A one-time setup fee of 390 USD per widget
  • A monthly service fee of 30 USD per website the widget key

Fees are billed in advance. Failure to pay may result in suspension of the widget after reasonable notice.

13. Confidentiality

Both parties must keep non-public information confidential unless required by law.

14. Security

We implement reasonable security measures. Client is responsible for securing access to their dashboard and tokens.

15. Disclaimers

The services are provided “as is” without warranties of accuracy, performance or uninterrupted availability.

16. Limitation of Liability

Takt is not liable for indirect or consequential damages. Total liability will not exceed the amount paid by the client in the 12 months preceding a claim.

17. Suspension and Termination

We may suspend or terminate service for breach, security concerns or legal requirements. Terms that should survive will continue after termination.

18. Changes to Services and Terms

We may update features, pricing or these Terms. Material changes will be communicated in advance when feasible. Continued use constitutes acceptance.

19. Governing Law and Dispute Resolution

These Terms are governed by Icelandic law. Disputes will first be handled informally via takt@takt.is and, if unresolved, may be brought before the courts of Reykjavík.
